Terms of Service

1. About these terms

These Terms of Service govern access to and use of finFlow, a service provided by Collabify Limited. By creating an account, accepting an invitation to an account, or using finFlow, you agree to these terms.

2. The service

finFlow provides invoicing, expense, payment, reporting and related financial administration features. We may improve, replace or discontinue individual features from time to time provided this does not materially reduce the core service without reasonable notice.

3. Accounts and authorised users

You are responsible for keeping account credentials secure, maintaining accurate account information, and ensuring that only authorised users access your organisation's account. You must notify us promptly if you become aware of unauthorised access.

4. Your data

You retain ownership of the information and records you submit to finFlow. You grant us the rights necessary to host, process, back up and transmit that information solely for the purpose of providing, securing and improving the service.

You are responsible for ensuring that information entered into finFlow is lawful, accurate and appropriate for your use of the service.

5. Acceptable use

You must not use finFlow to break the law, infringe the rights of others, distribute malicious code, attempt unauthorised access, interfere with the operation of the service, or use the service in a way that could reasonably damage Collabify Limited, finFlow or other users.

6. Subscriptions and payment

Where finFlow is supplied as a paid service, subscription fees, billing periods and any applicable taxes will be shown when you subscribe or agreed separately with Collabify Limited. Unless stated otherwise, fees already paid are non-refundable except where required by law.

We may suspend access where amounts remain overdue after reasonable notice.

7. Availability and changes

We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. Planned maintenance, security work, third-party outages and circumstances outside our reasonable control may affect availability.

8. Third-party services

finFlow may integrate with third-party services. Your use of those services may be subject to separate terms and privacy policies, and we are not responsible for services operated by third parties.

9. Intellectual property

Except for your data and third-party or open source components, Collabify Limited owns or licenses the rights in finFlow, including its branding, design and original software. Open source components are provided under their applicable licences. Further information is available in our Open Source Notices.

10. Suspension and termination

You may stop using finFlow at any time. We may suspend or terminate access where you materially breach these terms, fail to pay applicable fees, create a security or legal risk, or where we are required to do so by law. Where reasonably possible, we will give notice before taking action.

11. Liability

Nothing in these terms excludes liability that cannot lawfully be excluded. To the fullest extent permitted by law, finFlow is provided without guarantees beyond those expressly stated in these terms, and Collabify Limited will not be liable for indirect or consequential loss, loss of profit, loss of business opportunity or loss arising from information entered incorrectly by a user.

12. Changes to these terms

We may update these terms from time to time. The current version will always be available at this location. Where a change materially affects your rights or obligations, we will provide reasonable notice.

13. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales will have jurisdiction, subject to any mandatory rights that apply to you.

These terms apply to the standard finFlow service. If you have a separate written agreement with Collabify Limited, that agreement will take precedence where it expressly conflicts with these terms.
